By accessing or using Zyplex services (operated by Zertain), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

Intellectual Property

Ownership

All content, features, and functionality of Zyplex services — including software, text, graphics, logos, and trademarks — are owned by Zertain and protected by copyright, trademark, and other intellectual property laws.

Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our services for your business purposes.

Your Content

You retain ownership of any content you submit to our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free licence to use, store, and process that content solely to provide our services.

Payment and Subscriptions

Fees

Access to certain services may require payment of fees. All fees are non-refundable unless otherwise specified. We reserve the right to change our pricing with reasonable notice.

Billing

For subscription services, you authorise us to charge your payment method on a recurring basis. You are responsible for maintaining valid payment information and paying all charges incurred.

Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will not receive a refund for any unused portion of your subscription.

Service Availability

Disclaimer of Warranties

Limitation of Liability

To the maximum extent permitted by law, Zertain shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, whether in contract, tort, or otherwise, arising from your use of our services. Our total liability shall not exceed the amount you paid to us in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Zertain and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use our services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

Dispute Resolution

Any dispute arising from these Terms or our services shall first be resolved through good faith negotiations between the parties. If negotiations fail, the dispute shall be referred to mediation or arbitration in accordance with applicable Australian law.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and revising the “Last updated” date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
